Ares Real Estate Income Trust Raises $16 Million Through Private Share Sales

Ares Real Estate Income Trust Executes $16 Million Private Equity Offering



From October through early December, Ares Real Estate Income Trust brought in over $16 million through a series of private equity transactions. The offering included Class S-PR, Class D-PR, and Class I-PR shares—all issued under a Regulation D exemption. These share classes were offered to qualified investors without SEC registration, providing Ares with a direct and efficient path to raise capital.



Class I-PR shares led the way. More than one million shares were issued, totaling $8.1 million in gross proceeds. Class S-PR shares followed with just under $4.8 million, while Class D-PR shares added another $3.1 million. All three offerings included reinvested shares from the company’s distribution reinvestment plan.



For Class S-PR specifically, proceeds reflect over $67,000 in upfront selling commissions and dealer manager fees. These adjustments are included in the reported totals for gross proceeds.

Supporting Growth and Operational Flexibility



This round of capital raise supports the firm’s broader efforts to strengthen its balance sheet and stay flexible in a changing market. Ares Real Estate Income Trust focuses on income-producing real estate, and the capital helps maintain liquidity while supporting its investment activities.



The Denver-based trust, backed by Ares Management Corporation, continues to use private placement as a strategic tool. By tapping into Regulation D, Ares avoids the longer timeline of a public offering while still reaching its target investor base.



The capital raise wraps up a busy quarter for the company and reflects ongoing investor engagement with its preferred equity strategy.
