Blackstone Private Credit Fund Elects Trustees
Shareholders showed majority support for board leadership and 2025 audit oversight during the annual meeting.

Blackstone Private Credit Fund held its 2025 Annual Meeting of Shareholders on September 25. Two key items were on the agenda: electing board members and approving the firm’s auditor for the year ahead. Shareholders voted, and both decisions are now final.
More than 925 million shares were represented—about 51% of the total eligible. That met quorum, so the meeting moved forward.
Three Trustees Elected to Serve Through 2028
Shareholders elected three Class I trustees: Vikrant Sawhney, James F. Clark, and Vicki L. Fuller. Each will serve until the 2028 meeting or until a successor is named.
Clark led the group with over 802 million votes. Fuller and Sawhney followed closely, both receiving solid support. About 101 million shares were recorded as broker non-votes—meaning no instruction was given by those shareholders, but their shares were still counted for quorum.
These board members now carry forward the fund’s governance and oversight responsibilities. Their role includes reviewing investment decisions, managing risk, and making sure the fund operates with discipline and transparency.
Deloitte Reappointed as Auditor for Fiscal Year 2025
Shareholders also approved Deloitte & Touche LLP as the fund’s independent auditor for 2025. The results were decisive: 909 million in favor, fewer than 8 million opposed, and just over 8.5 million abstained.
Deloitte will continue to handle the audit of the fund’s financial statements , maintaining consistency in how financials are reviewed and reported.

These votes lock in both the board and the audit partner for the year ahead. That brings clarity to the fund’s structure and keeps it focused on executing its investment strategy.
With the board in place and the auditor confirmed, Blackstone Private Credit Fund has the foundation it needs for strong governance and financial reporting through the next cycle.
