CION Raises $172.5M Through Investment-Grade Notes Offering

Proceeds will support debt repayment and new investments in U.S. middle-market portfolio companies.

CION Investment Corporation Completes Private Placement of Senior Unsecured Notes



CION Investment Corporation has locked in $172.5 million through a new issuance of senior unsecured notes—an important step as it continues to manage its capital structure and expand its lending activity. The transaction includes two parts: $125 million maturing in 2029 and $47.5 million maturing in 2027. Both are fixed-rate, investment-grade notes.



The 2029 notes carry a 7.70% fixed annual interest rate. The 2027 notes come in at 7.41%. Interest payments for both begin in June 2026 and continue semiannually through maturity in December 2029 and December 2027, respectively. CION also has the option to redeem either note early, with a make-whole premium if applicable.



With this raise, CION is taking action on multiple fronts. A portion of the proceeds will go toward paying down its $125 million notes due in February 2026. The rest will help fund new portfolio investments and support general corporate activity.

This offering was structured as a private placement under Section 4(a)(2) of the Securities Act. That means the notes haven’t been registered with the SEC and are only available to eligible private investors. They can’t be sold publicly without proper registration or exemption.



CION’s approach continues to center on lending to U.S. middle-market companies—focusing on senior secured loans and seeking to generate steady income for investors. As of the end of Q3 2025, the company managed approximately $1.9 billion in total assets.



The company worked with Goldman Sachs & Co. LLC and Edgar Matthews & Co. LLC as placement agents for the deal.
