Campbell Fund Trust Finalizes Multi-Series Private Securities Sale
On December 31, 2025, Campbell Fund Trust completed a private capital raise across three of its investment series—Series A, Series D, and Series W. The transaction brought in a combined $6.8 million in cash contributions from both existing and new unitholders.
Rather than registering the securities with the SEC, the trust issued Units of Beneficial Interest under a Regulation D exemption. This approach allows the trust to complete a private placement efficiently while staying within federal securities requirements. The transactions were structured to qualify as non-public offerings under Section 4(2) of the Securities Act.
The capital raise was spread across multiple series:
- Series D raised just over $2.9 million
- Series A brought in approximately $2.4 million
- Series W added $1.5 million
All proceeds were received in cash, excluding any escrow-related interest. The allocation highlights a targeted funding strategy, with capital directed to specific segments of the trust rather than a single pooled offering.
