On March 31, Campbell Fund Trust completed a private capital raise totaling just over $10 million. The equity securities—Units of Beneficial Interest—were sold to both existing and new unitholders across three distinct series. The move reflects a targeted effort to grow assets under management while maintaining control over distribution.



Breakdown of proceeds:



  • Series A: $5.57 million

  • Series D: $3.5 million

  • Series W: $969,000



All investments were made in cash and processed outside of the public markets. By structuring the transaction this way, Campbell was able to move quickly while remaining within regulatory boundaries.



Offering Structure and Regulatory Framework


The Trust issued the securities under the private placement exemption in Section 4(2) of the Securities Act, utilizing Regulation D to bypass the need for SEC registration. This path allowed Campbell to engage a targeted group of qualified investors without triggering a broader public offering process.



Rather than pursuing a widely marketed offering, Campbell used a controlled, direct approach. This is a common strategy in the alternative investment space—one that helps preserve operational flexibility and execution speed.

Governance and Execution Timing


There were no changes to the Trust’s leadership structure as part of the transaction. The filing, dated April 3, was signed by Thomas P. Lloyd, who serves as both General Counsel and Chief Compliance Officer. His sign-off confirms that the placement followed all necessary compliance procedures.



The timing of the raise, closing on the last day of Q1, suggests it may have been aligned with quarterly capital planning or portfolio allocation strategies. While the filing doesn’t comment on specific use of proceeds, the structure and scale point to strategic fund growth across different product sleeves.
