Private sale completed on January 31
On January 31, Campbell Fund Trust raised nearly $1.87 million through a private sale of Units of Beneficial Interest, offering the equity to both new and existing unitholders.
The proceeds were split across two series, with approximately $1.44 million tied to Series A and $433,039.22 in cash associated with Series D .
The trust noted that the figures exclude any interest earned in escrow.
Offering relied on a private placement exemption
The transactions were not registered under the Securities Act of 1933. Instead, the trust said it issued the units under an exemption used for private placements, relying on Regulation D.
This approach allows a fund to raise capital without going through a public offering process, as long as the sale meets specific requirements and is not marketed as a broad public solicitation.

Campbell Fund Trust is incorporated in Delaware, with its principal executive offices listed in Baltimore through Campbell & Company, LP.
The disclosure was signed on February 5 by Thomas P. Lloyd , the trust’s General Counsel and Chief Compliance Officer.
