Cantor EP Acquires 900,000 Shares in CEPF
A share surrender and upcoming change in voting control point to a reconfiguration in Cantor’s management structure.

New Shares Bring Expanded Equity Position
On August 22, Cantor EP Holdings IV, LLC picked up 900,000 Class A ordinary shares of Cantor Equity Partners IV, Inc. (CEPF) at $10 per share. The purchase came through a private placement agreement signed just two days earlier. This latest move increases Cantor EP’s position in CEPF and adds to its direct holdings.
At the same time, Cantor EP surrendered 250,000 Class B ordinary shares back to CEPF. This step ties directly to the partial exercise of the underwriters’ over-allotment option during the company’s IPO process. Like other Class B shares, the surrendered portion would have eventually converted to Class A shares—either at the time of a business combination or at the holder’s discretion. Removing them now reduces potential dilution ahead.
Leadership Transition in Motion
Behind the scenes, there’s also a change in control taking shape. Back in May, Howard W. Lutnick entered into agreements to transfer all CFGM voting shares—CFGM being the managing general partner of Cantor Fitzgerald, L.P.—to trusts controlled by Brandon Lutnick. Once the deal closes, voting and dispositive power over CEPF’s shares will move from Howard to Brandon. The agreements are still subject to standard closing conditions, including regulatory sign-off.
Together, these steps reflect a calculated shift in both equity structure and internal leadership. With Brandon Lutnick positioned to take over control of CFGM, Cantor is aligning decision-making authority with the next generation of leadership. The filing shows that Cantor EP Holdings IV, Cantor Fitzgerald, L.P., CF Group Management, Inc., and both Lutnicks are moving in sync on this transition.
This is a signal—not just of a capital allocation decision—but of how Cantor is organizing itself for what comes next. As CEPF moves toward its business combination, these updates offer a clear view of who’s at the table and how ownership is evolving.
