Audit Transition Moves Forward
DSS, Inc. has changed course on its audit relationship. As of June 27, 2025, the company replaced its long-standing auditor, Grassi & Co., with HTL International. The decision was approved by the board and disclosed in a recent SEC submission.
Grassi had served as DSS’s independent auditor since July 2022. During that time, there were no reported disagreements over accounting, disclosures, or audit practices—nothing that would have triggered concern in official filings. The transition wasn’t tied to any unresolved issues. DSS made it clear this was a clean handoff.
HTL Takes Over Audit Responsibilities
HTL is now set to take over the audit responsibilities. That includes reviewing:
- Consolidated financial statements
- Statements of operations
- Changes in stockholders’ equity
- Cash flow reporting
Notably, HTL had not advised DSS on any accounting or reporting matters prior to the appointment. There were no consultations, no formal or informal opinions, and no influence over past financial decisions.
Clean Slate, New Cycle
There’s no commentary from DSS on why the switch was made, but the filing signals this was a strategic move, not a reactive one. As DSS continues to evolve under interim CEO Jason Grady, shifts in oversight like this help shape how the company manages risk, reports performance, and signals credibility to stakeholders.
A supporting letter from Grassi & Co. was included in the filing, formally confirming the facts. DSS also provided standard disclosures in XBRL format, in line with SEC requirements.
With HTL now in place, DSS moves forward with fresh eyes on its books and a renewed audit cycle already underway.
