ExchangeRight Income Fund, operating as ExchangeRight Essential Income REIT, executed a set of unregistered share sales on August 1 that brought in just under $940,000 in gross proceeds. The transactions reflect the firm’s ongoing efforts to scale its private placement offering—targeted at raising up to $2.165 billion through multiple share classes.



Three classes were involved in the August 1 issuance: Class D, Class ER-A, and Class ER-D Common Shares. Each was sold in reliance on exemptions under Section 4(a)(2) and Rule 506(c) of Regulation D, keeping the transactions within the regulatory framework for private offerings.



Breakdown of Shares Sold



  • Class D: 6,441 shares sold, raising roughly $175,000

  • Class ER-A: 19,933 shares sold, bringing in $577,464

  • Class ER-D: 6,886 shares sold, totaling $187,500



Commissions were applied where appropriate—most notably, the ER-A shares generated $38,000 in selling fees.
