ExchangeRight Sells Class D Shares as Part of Broader Private Raise



ExchangeRight just took another step forward in its ongoing private raise. On November 15, the firm sold 18,315 Class D Common Shares, bringing in $500,000 in gross proceeds. It’s a small but active portion of a much larger offering—$2.165 billion across eight share classes, including standard and ER-designated options.



This latest sale is part of a continuous private placement aimed at accredited investors. The Class D shares were issued under exemptions that allow the company to raise capital without going through a public registration process. That helps ExchangeRight move faster while maintaining compliance.



Behind this raise is a bigger strategy. The company operates under the name ExchangeRight Essential Income REIT and focuses on real estate that’s designed to be both recession-resilient and resistant to shifts in consumer behavior. It’s building a diversified portfolio and using these private placements to do it—aiming to generate income, manage debt, and support future acquisitions.

The company also laid out a clear reminder about forward-looking risks. That includes everything from tenant defaults and lease renewals to market volatility and interest rate shifts. Like any real estate platform, ExchangeRight faces ongoing pressure from economic and competitive forces. But it’s also keeping an eye on fundamentals like REIT qualification, data security, and execution across tenant categories.
