Fortress Net Lease REIT brought in $51.5 million through a private offering of common shares, finalized on September 2, 2025. The company issued over 5 million shares across three classes—Class I, Class F-S, and Class F-I—at values tied to the July 31 net asset value. These shares were offered under exemptions from SEC registration, using a combination of Section 4(a)(2), Regulation D, and Regulation S.



Here’s how the capital raise breaks down:




  • Class I shares brought in just over $20 million

  • Class F-S raised $13.1 million

  • Class F-I added $18.4 million



These proceeds go toward reinforcing the company’s investment strategy, offering added flexibility as Fortress continues to expand its real estate portfolio.



Dividend Distributions Across Share Classes



Alongside the equity raise, the company also declared distributions for all share classes. The announcement came on August 29, with payments scheduled for around September 3. All five share classes received the same gross distribution— $0.0707 per share —but net payouts varied depending on fee structure.

  • Class E: $0.0707 (no fees applied)

  • Class I: $0.0600

  • Class F-I: $0.0621

  • Class D-S: $0.0619

  • Class F-S: $0.0549



Distributions were either paid in cash or reinvested automatically for shareholders enrolled in the company’s reinvestment plan.
