The company will reconvene its shareholder meeting in January while continuing proxy solicitation efforts.

Meeting Adjourned Due to Insufficient Votes



On December 19, Procaccianti Hotel REIT opened the doors to its 2025 annual shareholder meeting—but without enough votes to meet quorum, no business could move forward. The meeting was quickly adjourned and will now reconvene a month later, on January 19, 2026, at the company’s headquarters in Cranston, Rhode Island.



The agenda hasn’t changed. All proposals laid out in the proxy statement filed with the SEC back in October will remain on the table. The company is using the extra time to continue gathering votes and working toward quorum. If you've already submitted a proxy, there’s no need to resubmit—your vote still counts unless it’s actively revoked.

What Shareholders Need to Know



The record date also stays the same: shareholders of record as of October 14, 2025, remain eligible to vote when the meeting resumes.



In the meantime, the company is keeping the process moving. Proxy solicitation continues, and shareholders still have time to participate. All relevant materials, including the proxy statement, remain available through the SEC’s website.



Procaccianti Hotel REIT is focused on completing the annual meeting with full participation. With the new meeting date set, shareholders can plan accordingly and take any final actions needed to ensure their votes are counted.
