Redwire Shareholders Approve Key Governance and Auditor Proposals

The company’s leadership slate was confirmed, and an amendment shielding officers from some legal risks passed.

Redwire Secures Shareholder Support for Director Elections, Auditor, and Liability Limitation Amendment



Redwire’s 2025 Annual Meeting of Shareholders wrapped up on May 21 with clear direction from investors. Each proposal on the ballot received strong support—including director re-elections, the appointment of the company’s independent auditor, and a governance change limiting officer liability.



The meeting drew participation from holders representing over 96 million votes—common and preferred stock combined. That gave Redwire the quorum it needed to move forward.



Directors Re-elected Through Strong Vote Backing



Three Class III directors were re-elected to serve through the 2028 meeting. Joanne O. Isham received the highest level of support, followed by Peter Cannito and Kirk Konert. Although some shares were voted to withhold, the overall outcome was decisive. Each nominee will continue serving in their current role, with broker non-votes making up a notable portion of the total.



Auditor Ratified for Another Fiscal Year



Redwire shareholders also confirmed KPMG LLP as the company’s independent auditor for 2025. More than 96 million votes came in favor of the reappointment, with very limited opposition or abstentions. That vote signaled continued trust in KPMG’s role in financial reporting oversight.

Governance Amendment Clears with Solid Approval



The final proposal focused on limiting certain officers’ personal liability in cases of fiduciary breaches. Redwire’s shareholders approved the amendment to the Certificate of Incorporation by a wide margin:




  • Over 75.8 million votes supported the change

  • Fewer than 5 million votes were cast against

  • Roughly 16 million broker non-votes were recorded



This amendment aligns Redwire’s practices with what’s now permitted under Delaware law. It’s a structural change aimed at reducing individual risk exposure for company officers in the course of fulfilling their roles.



What This Means for Redwire’s Next Phase



All three proposals were clear checkpoints for Redwire’s near-term strategy. Leadership continuity, oversight stability, and governance alignment are now locked in—positioning the company to stay focused on execution. The voting outcomes suggest shareholders remain aligned with Redwire’s current direction and priorities.
