Routine Withholding Reduces Executive Holdings
Michael Seton, CEO of Sila Realty Trust, reduced his ownership in the company earlier this month—but not by choice. The adjustment came through a series of standard share withholdings tied to previously granted restricted stock. These shares vested in January and triggered tax liabilities, which were settled through automatic reductions in Seton’s holdings.
Here’s what happened. On January 2 and January 5, Seton had 15,050 shares withheld across four transactions. Each tied back to a different restricted stock award—granted in 2022, 2023, 2024, and 2025. As each award reached its next vesting milestone, a quarter of the shares vested and a portion were withheld to cover income taxes. That’s standard procedure in equity compensation plans.
The share prices used for withholding ranged from $23.30 to $23.50. After the final transaction, Seton retained 216,561 shares, all held directly. There was no open market sale, and the filing didn’t include any derivative security movements.
Administrative Action, Not Strategic Shift
These types of transactions—marked with code “F” in SEC filings—don’t reflect a change in sentiment or investment outlook. They’re administrative in nature, part of how companies manage compliance when executives receive stock-based compensation.
Seton continues to serve as both CEO and board director. The company did not indicate any changes to his role or compensation structure in the filing. For shareholders, the net result is a minor reduction in total shares held, with no impact on executive alignment or strategic direction.
Executives at public companies often use this method to handle tax obligations without having to liquidate shares directly. It’s a predictable part of the reporting calendar—and in this case, it shows Sila Realty continuing to follow well-established practices for equity awards.
