Capital raise and pricing to follow
When Steele Creek Capital closed out the first day of July, it did so with two key moves: a fresh round of capital and a vote of confidence from its shareholders.
The company raised just over $655,000 through a private sale of common stock. The number of shares tied to the deal hasn’t been finalized yet—that figure will be based on the net asset value per share, which Steele Creek expects to calculate within two business days of the sale. Once complete, the final pricing and share count will be disclosed in an amendment to the original announcement.
This isn’t a public offering. Shares were issued under subscription agreements and sold under a Regulation D exemption , meaning only qualified investors were eligible to participate. Investors paid at the time of subscription, with settlement tied to NAV-based pricing.
Shareholder voting confirms board direction
Alongside the capital raise, Steele Creek held its 2025 Annual Meeting of Stockholders. The agenda was short but important. Shareholders re-elected two directors—Christopher Ryan and William Hayes—to serve on the board through the 2028 meeting. Voting results were decisive, with both directors receiving strong support and only a minimal number of abstentions.
Audit oversight continues
The meeting also confirmed the appointment of Grant Thornton LLP as the company’s independent auditor for 2025. That decision, too, passed without opposition.
All told, the activity signals continued alignment between management and shareholders. With over 6.3 million shares outstanding and voting rights in play, this round of decisions gives Steele Creek room to move forward on strategy while maintaining oversight from a familiar board and audit team.
