Tetragon Reports Nearly 20% Ownership in Kolibri Global Energy Through Affiliate Network
Tetragon Financial Group and its affiliates now hold a 19.8% stake in Kolibri Global Energy Inc., according to a recent disclosure. This includes over 7 million common shares, held across several investment entities under the Tetragon structure.
The shares are managed through a network of investment managers operating out of the U.S., U.K., Cayman Islands, and Guernsey. These include TFG Asset Management L.P., TFG Asset Management US LP, TFG Asset Management UK LLP, and others. While no one entity has sole control, they collectively report shared voting and dispositive power over the full stake.
The Westbourne River Event Master Fund —part of this group—directly owns 4.4 million shares, amounting to 12.4% of Kolibri’s outstanding stock. These shares are managed in coordination with other entities in the network, including Blackwell Partners LLC, a managed account that also benefits from more than 5% of Kolibri’s shares.
Control is shared not only across firms but also with two key individuals: Patrick G.G. Dear and Reade E. Griffith. Both are identified as principals of the investment managers and are included in the group that oversees the stake. The filing confirms that voting and disposition rights are exercised collectively across the various entities and individuals.
The ownership report is based on Kolibri’s share count as of mid-November 2023 and reflects positions held at year-end. There’s no indication of any active push for corporate change—this appears to be a passive ownership disclosure required under SEC rules.
