Truist Financial director reports stock sale and updated holdings

The transaction reflects an adjustment in personal ownership while a portion of shares remains held indirectly through a trust

November 28, 2025

Truist Financial Corporation board member David K. Boyer Jr. has recorded a sale of company stock, updating his disclosed ownership in the banking institution. The submission lists the director’s residence as Charlotte, North Carolina and outlines a late November 2025 transaction involving common shares.

The report notes that Boyer disposed of 5,160 shares at a price slightly above the mid-forties per share. Following that movement, his directly held stake stands a little above ten thousand shares. This change represents a reduction in his personal holdings but does not remove his position as an investor inside the company.

In addition to those directly controlled shares, the disclosure identifies more than four thousand shares maintained indirectly through a trust. The structure reflects an additional holding outside of personal ownership, offering another layer of investment tied to the director.

Included within the updated share count are gains made through Truist’s dividend reinvestment program between March and November 2025. This reinvestment activity added small incremental ownership to the remaining total reported. A signature provided by an attorney-in-fact confirms the reporting, dated three days after the transaction.

The report also reminds readers that omissions or inaccuracies in such documentation may lead to federal legal consequences, reinforcing the importance of clarity regarding insider activity. While a single insider sale does not necessarily reflect shifting corporate expectations, investors often monitor movements among directors and executives to gauge sentiment or liquidity decisions.

With this update, Boyer’s holdings include both a personally maintained equity position and an indirect trust-based portion. As of late November 2025, this snapshot serves as the most recent record of ownership activity involving the Truist director.
