UMB Financial Clears Key Governance Hurdles with Broad Shareholder Support



At UMB Financial Corporation’s annual meeting on April 29, shareholders showed up in force—more than 89% of outstanding shares were represented. They were there to make decisions on three core governance items: director elections, executive pay, and the firm’s audit relationship for the year ahead. All three proposals passed with strong majorities, reflecting steady shareholder alignment with UMB’s direction.



Directors Re-Elected to Guide 2025–2026 Strategy



All 16 director nominees were re-elected to one-year terms. Shareholder support was broad, with each nominee receiving more than 56 million votes in favor. Broker non-votes—those cast without specific instruction—totaled just under 6 million shares, but they didn’t shift the outcome. The board’s composition remains consistent, which gives the company a strong base of experience as it moves forward into a new fiscal year.



Executive Pay Package Gets Shareholder Green Light



The vote on executive compensation, although advisory, delivered another clear result. More than 58 million shares backed the proposal, with less than one million voting against it. A small portion abstained. The takeaway: shareholders signaled that UMB’s pay structure for top leadership continues to reflect performance and expectations. In an environment where scrutiny on compensation is high, this vote provides validation for the firm’s approach.

Audit Firm Reappointment Moves Ahead Without Issue



Shareholders also ratified the Corporate Audit Committee’s decision to retain KPMG LLP as UMB’s independent auditor for 2025. The vote was nearly unanimous: over 64 million shares voted in favor, while fewer than one million opposed. Less than 250,000 shares abstained. It was a strong show of support for the firm’s current financial oversight and audit framework.
