Venu Aligns with Tixr in Exclusive Ticketing and Strategic Investment Deal
Venu Holding Corporation has signed a long-term agreement with Tixr, naming the company as the exclusive ticketing provider across a growing set of live music venues. The agreement went into effect on September 3, 2025, and covers locations in Colorado Springs, Centennial, and Gainesville, Georgia, with a fourth venue still to be announced.
This is a five-year commitment, automatically extending in two-year terms unless either side opts out. As Venu opens new venues, Tixr will have the right of first offer for future ticketing needs. It’s a setup designed to grow alongside Venu’s footprint.
Tixr’s role goes beyond basic ticket sales. The platform will receive service fees tied to transaction volume, and will temporarily hold a portion of event proceeds to settle those fees. In return, Venu will get:
- Equipment credits
- Printed ticket stock
- Marketing reimbursements
- Website design support
Tixr’s branding —both online and on-site—will be fully integrated into Venu’s operations. The agreement also includes annual VIP ticket allocations with full access privileges for Tixr.
Milestone Requirements and Equity Investment
The structure is performance-driven. If Venu doesn’t open its third venue by year three—or a fourth by year four—Tixr can terminate the agreement. Venu is also expected to meet annual sales thresholds. Falling short could trigger changes in Tixr’s commission or extend the agreement until those targets are met.
As part of this strategic alignment, Tixr made an equity investment in Venu and received 62,500 shares of common stock. The shares were issued under a private placement and are subject to resale restrictions.
With this agreement, Venu secures a flexible, scalable ticketing solution while reinforcing a long-term partnership that aligns with its growth plan.
